Prices quoted are net and are subject to change without notice. Prices and discounts are in effect from May 1, 2007 to April 30, 2008.

Contract orders are due at PanAmerican Seed by April 1, 2007.

In the event of a crop shortage, contract orders are given preference over spot orders.

All prices are in US dollars.

Discounts

A volume discount is offered on shipments. This discount is based on the greater of:

1. Total value of net shipments from the previous season April 1, 2006 to March 31, 2007; or
2. Total dollar value of this season’s gross contract placed by April 1, 2007.

If a portion of the contract is cancelled, the discount will be adjusted for the new order value. Discounts will be effective from May 1, 2007 to April 30, 2008.

Volume Discount

Terms

Payment must be received before seed is shipped unless terms are granted. Terms are 1% discount when paid within 15 days from invoice date, NET 30 days. A 1% per month finance charge (12% annual rate) will be added to all past due balances at the end of each month.

Pricing

Your price is determined by referring to the product price and deducting the Customer Discount for which you qualify. This discount applies to all contract and spot orders except Asparagus and Cobaea. Contact your PanAmerican Seed sales representative for Asparagus and Cobaea pricing.

Returns

No seed may be returned without first obtaining written authorization. Authorized returns will only be considered if they are in original, unopened PanAmerican Seed packages. All returns are subject to a 15% service charge. Returns can be shipped to:

Minimum Orders

The minimum quantity listed in the price list for each variety is the minimum order for that variety.

Packaging Fees

All orders will be filled in bulk packaging unless special packaging instructions are given. If special packaging is requested, a packaging fee of $0.65 per packet will apply and additional time may be required to complete the order. Any package over 50,000 seeds is not subject to special packaging fees.

Delivery Dates

Please indicate the required ship date when the order is being placed. No orders can be accepted without a requested ship date.

Insurance

We do not insure shipments via AirMail, but insure all other shipments in transit.

Shipping

Freight on Nasturtiums shipped from Santa Paula, California or Asparagus and Cobaea scandens shipped from Costa Rica will be paid by the customer. All other seed shipped from Santa Paula, California or West Chicago, Illinois will be shipped prepaid, air parcel post or AirMail.

PanAmerican Seed will be unable to ship on the following dates:

Crop Shortage

In the event of a crop shortage, all deliveries will be made on a pro rata basis. Contract orders are given preference over spot orders. After we have assurance that contract orders will be filled in full, orders received after April 1, 2007 will be filled.

Disclaimer

All orders are subject to our confirmation and crop conditions. PanAmericanSeed warrants, to the extent of the purchase price, that the seeds are sold as described on the container, within recognized tolerances. We give no further warranty, expressed or implied.

Seed Count

All seed counts given are approximate quantities due to variation based on a lot by lot comparison. Seed counts may also vary widely between colours and series.

Reservation of Ownership

In the event of bankruptcy, products delivered by PanAmerican Seed remain the property of PanAmerican Seed until the buyer has paid the purchase amount. This reservation of ownership is also extended to claims that PanAmerican Seed may obtain towards buyer on account of the buyer's failure to meet their obligations to PanAmerican Seed.
